Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of the PropIQ platform, websites, and related services ("the Service"), operated by PropIQ, a Flowstate Realty company based in Edmonton, Alberta. By creating an account or using the Service you agree to these Terms.

If you use the Service on behalf of an organization (for example, a property management company), you represent that you have authority to bind that organization, and "you" includes it.

2. The Service

PropIQ provides software for property management operations: tenant, owner, and vendor portals; maintenance coordination; rent records; owner statements; leasing tools; messaging; and an AI assistant ("Lucy"). Features vary by subscription package.

The Service is a software tool. PropIQ is not a real estate brokerage, property manager, law firm, or financial advisor, and nothing in the Service constitutes legal, financial, or investment advice. Property management clients remain solely responsible for their regulatory obligations, including those under the Real Estate Act (Alberta) and the rules of the Real Estate Council of Alberta (RECA), and for compliance with the Residential Tenancies Act (Alberta) in their dealings with tenants.

3. Accounts

You must provide accurate information and keep your login credentials confidential. You are responsible for activity under your account. Notify us promptly of any suspected unauthorized access.

Accounts for tenants, owners, and vendors are provisioned by the property management company they deal with; that company controls those records and the roles assigned.

4. Acceptable use

You agree not to: misuse the Service to violate any law (including privacy and tenancy law); attempt to access records or accounts that are not yours; interfere with the operation or security of the Service; upload malicious code; use the Service to send spam or harassing messages; or attempt to extract other users’ personal information.

The AI assistant must not be used to solicit legal advice, impersonate staff, or process payment credentials or government identifiers. AI responses may contain errors and are not official statements or decisions of any property management company.

5. Client data

As between PropIQ and a subscribing property management company, the company owns the data it and its users enter into the Service. PropIQ processes that data only to provide the Service, as described in our Privacy Policy, and provides export capabilities on request or termination.

You are responsible for the accuracy and lawfulness of the data you enter, including having the necessary consent or authority under the Personal Information Protection Act (Alberta).

6. Fees

Subscription fees, setup fees, and billing terms are set out in the applicable order or proposal. Fees are in Canadian dollars and exclusive of GST unless stated otherwise. Overdue accounts may be suspended after reasonable notice.

7. Intellectual property

PropIQ retains all rights in the Service, its software, and branding. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used to improve the Service without obligation.

8. Availability and changes

We aim for high availability but the Service is provided "as is" and "as available." We may modify features, and will give reasonable notice of material changes that reduce core functionality. Scheduled maintenance will be communicated where practical.

9. Disclaimers and limitation of liability

To the maximum extent permitted by Alberta law: the Service is provided without warranties of any kind, express or implied; PropIQ is not liable for indirect, incidental, special, or consequential damages, or loss of profits, data, or goodwill; and PropIQ’s total liability for any claim is limited to the fees paid for the Service in the twelve (12) months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Termination

Subscribing companies may terminate per their order terms. We may suspend or terminate access for material breach of these Terms after reasonable notice (immediately for security threats or unlawful use). On termination, client data export is available for 30 days, after which data is deleted per our retention practices.

11. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta. The courts of Alberta, sitting in Edmonton, have exclusive jurisdiction over disputes arising from these Terms or the Service.
